of Service and Sale
IDOL and ICON
These general terms and conditions (hereinafter the “General Terms and Conditions”) apply to the products and services offered and provided to Members as defined below by The Eight, a French company (SAS) registered with the Paris Trade and Companies Register under number 994 813 095, whose registered office is located at 60 Rue François Ier 75008 Paris, represented by its president, Mr. Pierre-Alexandre BALLOFFET (hereinafter “The Eight”).
The Eight runs a private club reserved for Members and, in return for their Membership, offers them a range of Services, including access to exclusive events and the provision of advisory, curation, sourcing services, and the sale of exceptional and/or collectible Products.
These Terms and Conditions are intended to define the terms and conditions of Membership for IDOL and ICON Members, as well as the conditions under which they will benefit from the Services and be able to place Orders for Products with The Eight.
They are accessible and printable at any time via a hyperlink available on the home page of the website theeightclub.com/terms-conditions (hereinafter “the Website”), which the Member acknowledges as being an acceptable durable medium.
Article 1. Definitions
The following terms, when capitalized, have the following meanings:

“Membership”:
induction of a Candidate into The Eight club as a Member, following the approval process, upon signing these Terms
and Conditions and paying an annual Membership fee;

“Candidate”:
a person of legal age and capacity acting for personal and non-professional purposes who wishes to become a Member
of The Eight club;

“Member”:
upon completion of their Membership, a member of The Eight club; the Member is, under the terms hereof, the
co-contracting party of The Eight;

“Offer”: IDOL
and/or ICON offers defined below, from which each Member chooses and which define the Services to which they have
access;

“Secure Personal Area”: area of the Website dedicated to the Member, accessible using the
Member’s confidential login details;
- “Services”: any service offered by The Eight to Members as part of Membership;
-
“Event”: any event organized by The Eight to which Members may have access under the conditions defined
below according to the Offer chosen;

“Product”:
any Product of any kind offered for sale by The Eight to its Members; Products are exceptional items characterized
by their rarity, history, and investment potential, particularly in the horology, jewelry, leather goods, design,
etc.

“Order”
means the purchase of Products by a Member from The Eight by any means or process whatsoever, in particular during
an Event, remotely, outside the establishment or on The Eight’s premises;
- “Curation”: Personalized service for identifying, verifying, selecting, and presenting exceptional products based on the criteria and vision of The Eight’s and/or of the Member’s as part of One-to-One Curation.
Article 2. Acceptance of the terms and conditions
Any application and subsequent Membership of the club implies full acceptance of these Terms and Conditions by the Candidate and then the Member, who acknowledges having read them and declares that he accepts them without reservation.
The Member undertakes to read the Terms and Conditions each time the Membership is renewed and each time a new Order is placed.
Any request for Services, in particular Curation or sourcing, and any expression of intent to place an Order constitutes acceptance of the application of the version of the Terms and Conditions in force on that date.
Article 3. Membership

Membership Procedures
Any Candidate may apply for membership of The Eight club using the form available on the Website.
The Eighth will then send the Candidate an application form accompanied by these Terms and Conditions. Returning the completed form implies acceptance of and submission to the Terms and Conditions.
The information provided by the Member to The Eight must be complete, accurate, up-to-date, truthful, and not misleading in any way. The Eight reserves the right to ask the Member to confirm, by any appropriate means, the accuracy of the information provided.
Upon receipt of the completed form, an appointment (in person or by videoconference) is set by mutual agreement between The Eight and the Candidate.
The committee responsible for accepting new Members meets every quarter. Within a reasonable period of time following this meeting, The Eight will inform the Candidate whether their application has been accepted, it being specified that The Eight reserves the right to accept or refuse a Candidate at its sole discretion, without having to justify the reasons for its refusal. If needed, the Candidate acknowledges and accepts that The Eight’s opinion that the Candidate does not respect the club’s values or corresponds to a profile already represented within the club constitutes a legitimate reason for refusing an application and undertakes not to contest this.
The Eight’s Membership proposal is accompanied by the invoice for the first annual Membership fee, payable within fifteen (15) days, and these Terms and Conditions for signature.
Payment of this Membership fee by bank transfer implies the Candidate’s agreement to Membership.
Upon receipt of payment and the signed Terms and Conditions, the Member will receive an email confirming their Membership, which marks the effective date of the Membership.
This email contains a link allowing the Member to create their Secure Personal Area on the Website and the assigned username. When logging in for the first time, the Member chooses a personal and confidential password. The Member is solely responsible for these login details (username and password), which must remain confidential and reserved for their personal use in accordance with their original purpose. If these login details are or may be in the hands of a third party, the Member must immediately reset their password. Any access and actions carried out from a Member’s Secure Personal Area are presumed to have been carried out by the Member. Any loss or unauthorized use of the login details must be reported to The Eight without delay by email to membersadmin@theeightclub.com.
In the event of a change in the information provided for Membership purposes (e.g., change of address, personal or professional situation, collection subject, etc.), the Member undertakes to inform The Eight so that their information can be updated to allow, where relevant, optimal personalization of the Services.
To take into account the Member’s right of withdrawal, unless the Member waives this right in writing under the conditions set out in Article L.221-25 of the French Consumer Code, the Member will have access to the Services after a period of 15 calendar days from the date of Membership, subject to receipt of payment of their Membership fee.

Annual membership fee
The annual Membership fee is set, as of the date hereof, at:
- IDOL Offer: €5,000 including tax/year;
- ICON Offer €15,000 including tax/year.
The Eight reserves the right to modify these rates once a year, only for an application at the next renewal. The Member may refuse this new rate. In this case, unless otherwise agreed between the Parties, their Membership will not be renewed at the end of the current contract term.
Only payments by bank transfer are accepted.
After the first Membership fee, an annual invoice will be issued three (3) months before the end of the current contract year and must be paid before the end of this term. Failure to do so will result in the Membership not being renewed.
No discount is granted for early payment. No deduction, compensation, or withholding of any kind may be made against The Eight. It is specified for all intents and purposes that the cost of the Member’s use of remote communication technologies (e.g., telephone, internet) remains their responsibility.
Article 4. Services
The Services are for the exclusive benefit of Members. No third party may benefit from them without the prior written consent of The Eight.

IDOL Offer
The IDOL Offer entitles Members to the following Services:

Access to a
Secure Personal Area on the Website, which includes summary profiles of IDOL and ICON
Members, as well as content posted online by The Eight for Members (photo gallery of Events, Product
catalogs, etc.).

Access to The Eight Events
- The opportunity to participate, pending availability, in monthly Events organized by The Eight on the 8th of each month, by personal and nominative invitation, subject to confirmation of attendance and payment of an entrance fee (from €500 including tax per event - the amount and terms of which are communicated in the invitation), before the response deadline mentioned therein;
- Private access to photos and videos of Events in which the Member has participated via their Secure Personal Area;

Possibility to
purchase Products presented for sale at Events attended by the Member (priority given to the first
buyer), then remotely or by appointment if they have not yet been sold at the end of a 72-hour period
following each Event;

Personalized “One-to-One
Curation” service on demand (once a year)
- Personalized sourcing service via The Eight’s privileged network when searching for a specific exceptional item;
- In the case of a less specific search, advisory service and suggestions of 1 to 3 pieces selected according to the Member’s profile and expectations;

Consulting
services for the creation, management, enhancement, or optimization of a private collection;

Resale support (once a year)
- Free estimate, upon request, of the Member’s items and personalized recommendations (conservation, enhancement, or resale);
-
Possibility of
offering certain items for resale through The Eight acting as a buyer-reseller or as a confidential
agent preserving the seller’s anonymity, provided that The Eight validates (at its sole discretion) the
interest of the item for other Members;

Creation of
private Member circles: Connections and confidential meetings with other Members selected by
The Eight based on their interests and affinities;

Access to cutting-edge editorial
and informational content
- Receipt of an exclusive annual collector’s guide (rare items, addresses, inspiration);
-
Access to editorial
contents dedicated to lifestyle, heritage, and collectibles;

Legacy circle
- Referral program: 50% discount on a future Event for each Candidate referred who completes the Membership process (unlimited number, subject to the Candidate’s approval by the Eight).
- Free access to an annual signature Event reserved for IDOL Members.

Annual gift
reserved for IDOL Members.

Secure Personal Area on the Website, which includes summary profiles of IDOL and ICON
Members, as well as content posted online by The Eight for Members (photo gallery of Events, Product
catalogs, etc.).

The ICON Offer entitles you to the following Services:

Unlimited access to The Eight
Events
- Guaranteed access at no extra cost to all 12 Events organized by The Eight by personal and nominative invitation on the 8th of each month, subject to confirmation of attendance before the date mentioned in the invitation;
- Option to invite a guest once per quarter, subject to prior approval of the guest by The Eight at its sole discretion;
- Private access to photo and video of the Events via the Secure Personal Area;

Possibility to purchase Products presented for sale at Events attended by the Member (priority given to
the first buyer), and then, if not sold in this context, remotely or by
appointment, even if the Member did not attend the Event; ICON enjoy privileged access for 72 hours following the Event; thereafter, the Products will also be offered to IDOL;

Unlimited
personalized “One-to-One Curation” services on demand and priority access to exclusive and confidential
offers
- Personalized sourcing service via The Eight’s privileged network when searching for a specific exceptional item;
- For less specific searches, advisory service and suggestions for 1 to 3 items selected based on the Member’s profile and expectations.
- Consulting services for the creation, management, enhancement, or optimization of a private collection;
- Ongoing support from a personal curator to define and refine the Member’s acquisition DNA and then for each transaction carried out
- Priority and privileged access to products offered within The Eight’s reliable and secure network (historic houses, specialist dealers, private collectors);

Facilitated access to special/custom
orders and limited editions from major houses;

Unlimited support for resale
- Free estimate of Member’s items and personalized recommendations (conservation, enhancement, or resale);
- Option to offer certain items for resale through The Eight acting as a buyer-reseller or confidential agent, preserving the seller’s anonymity, provided that The Eight validates (at its sole discretion) the item’s interest to other Members;

Conversion of the
proceeds from such sales into credit that can be used for future acquisitions.

Privileged creation of
private circles of Members
- Confidential introductions and meetings with other Members selected by The Eight based on their interests and affinities;
- Invitations to events reserved for ICON that are more confidential and held in smaller groups;

Access, via The
Eight’s Secure Personal Area, to detailed Member profiles; algorithm-based service suggesting
connections based on affinities with other Members or solely between ICON Members;

Legacy Circle
- Creation of personalized files designed to optimize the resale of items belonging to Members thanks to The Eight’s network of experts who authenticate items and set fair prices;
- Invitations to events on the recommendation of The Eight’s founders networks;
- Annual loyalty reward: collectible item or item created specifically for ICON;
-
Referral benefits: for each Candidate referred who completes the Membership process (unlimited number,
subject to approval of the Candidate by The Eight), the Member is
offered the opportunity to invite a guest of their choice, subject to prior approval by The Eight, to a monthly Event;
-
Priority
access to new offerings from The Eight and its partners (private retreats and trips, unique
experiences, limited editions, collaborations, etc.);
-
Access to cutting-edge editorial
and informational content.
- Receipt of an exclusive annual collector’s guide (rare items, addresses, inspirations) in paper and digital format;
-
Access to editorial content dedicated
to lifestyle, heritage, and in-depth knowledge;
-
Access to
a Secure Personal Area on the Website, which includes summary
profiles of IDOL and ICON Members, as well as content posted online by The Eight for Members (photo
gallery of Events, Product catalogs, etc.).

Sale of Products
-
Ordering
The Eight offers Products for sale exclusively to its Members on various occasions, including but not limited to:
- During Events;
- As part of Curation and sourcing Services;
- Remotely, on an ad hoc basis or from a permanent catalog containing a sample of Products acquired by The Eight;
- As part of second-hand sales of items belonging to Members.
Products may therefore be sold on The Eight’s premises, off-site (e.g. at Events) or remotely. In all these situations, The Eight acts as the seller.
For each Product offered for sale, The Eight shall communicate to any interested Member prior to the Order, either by display or in any other written form:
- The essential characteristics of the Product, including whether it is new or second-hand;
- The price of the Product in euros, including all taxes; prices including tax include, in particular, value added tax (VAT) expressed as a percentage of the value of the Product sold, at the rate in force on the date of the Order; the prices communicated are valid on the day they are communicated to the Member until midnight. Beyond that, the Eight reserves the right to modify the prices of its Products, it being specified that any price modification will only apply in the future;

Where applicable, the
available delivery methods and their prices (depending on the amount of the Order and the delivery location)
expressed in euros and including all taxes; at the time of the Order, the purchasing Member chooses one of the
delivery methods offered, agrees to pay the price, and provides an accurate and complete delivery address.
For the rest, all Orders are subject to these Terms and Conditions.
Provided that the Product is still available, the Order is considered firm and final upon receipt by The Eight of the Member’s written confirmation of their intention to purchase in exchange for payment of the communicated price.
An Order confirmation will be provided to the purchasing Member following their Order is placed, formalizing the agreement between the parties and summarizing the terms of the transaction, including the contact details of the parties, the date of sale, identification of the Product(s) and their essential characteristics, the Order number, the unit price including and excluding tax, the payment due date, penalties and interest for late payment, the delivery address (if different), applicable legal guarantees, the right of withdrawal, and the possibility of recourse to a consumer mediator. This contract is accompanied by the standard withdrawal form mentioned in Article 5 below. The Member agrees to receive this document in PDF format by email.
Payment for the Order must be made at the same time as the Order, either by credit card, bank transfer, or via a secure online payment link. As an exception to the above, for Orders placed during Events, payment for the Order may only be made after a period of seven (7) days from the date of the Order, in accordance with Article L221-10 of the French Consumer Code. A payment request will then be sent to the Member at the end of the legal period and must be honored within 48 hours.

Delivery
Unless otherwise specified at the time of the Order, and subject to the immediate availability of the Product(s), the average delivery time is 15 business days from the date of receipt of the payment for the Order. However, The Eight is not bound by any mandatory deadline, this timeframe is for informational purposes only. No delay in delivery shall therefore give rise to penalties or cancellation of the Order, unless agreed by the parties.
Members are invited to check the condition of the packaging and the Product(s) upon receipt. It is their responsibility to make any reservations and complaints they deem necessary, or even to refuse the package if it is clearly damaged. Such reservations and complaints must be sent to the carrier by registered letter with acknowledgment of receipt within three working days, excluding public holidays, following the date of delivery, with a copy sent to The Eight. Failure to make a complaint in this manner and within this time frame will extinguish any action against the carrier in accordance with Article L. 133-3 of the French Commercial Code.
The Member must ensure that the Product(s) delivered correspond to the Order in terms of nature, quantity, and quality. In the event of nonconformity, they must inform The Eight within fourteen (14) days of receipt of the Product(s) by email to secondthought@theeightclub.com, providing all information and photographs to justify the alleged nonconformity.
The Eight reserves the right to request any additional information or a physical examination of the Product. If the non-compliance is confirmed, the Product(s) will be returned in accordance with the terms and conditions specified by The Eight and at its expense, and then refunded. -
Warranty

The Member benefits from the legal guarantees of conformity and hidden defects.
In particular, they have a period of two years from the delivery of each Product to obtain the implementation of the legal warranty of conformity in the event of nonconformity. During this period, the Member is only required to establish the existence of the nonconformity and not the date on which it occurred. For second-hand goods, the presumption that the defect that appeared after delivery already existed on the date of delivery applies for twelve months.
In the case of the continuous supply of digital content or a digital service for a period exceeding two years, the legal warranty applies to this digital content or digital service throughout the planned supply period. During this period, the Member is only required to establish the existence of the nonconformity affecting the digital content or digital service and not the date on which it occurred.
The legal guarantee of conformity requires The Eight, where applicable, to provide any updates or corrections necessary to maintain the conformity of the Product.
The legal guarantee of conformity entitles the Member to have the Product repaired or replaced within thirty days of their request, at no cost and without significant inconvenience to them.
If the Product is repaired under the legal warranty of conformity, the Member shall benefit from a six-month extension of the initial warranty.
If the Member requests repair of the Product, but The Eight imposes replacement, the legal warranty of conformity is renewed for a period of two years from the date of replacement of the Product.
The Member may alternatively obtain a reduction in the purchase price by keeping the Product as is or cancel the sale and receive a full refund in exchange for returning the Product, if:
1° The Eight refuses to repair or replace the Product; 2° The repair or replacement of the Product takes place after a period of thirty days; 3° The repair or replacement of the Product causes a major inconvenience to the Member, in particular when the Member definitively bears the costs of returning or removing the non-compliant Product, or if they bear the costs of installing the repaired or replacement Product; 4° The Product remains non-compliant despite The Eight’s unsuccessful attempt to bring it into compliance.
The Member is also entitled to a reduction in the price of the Product or to the cancellation of the sale when the nonconformity is so serious that it justifies an immediate reduction in price or cancellation of the contract. In this case, the Member is not required to request the repair or replacement of the Product beforehand.
The Member is not entitled to termination/cancellation of the sale if the nonconformity is minor.
Any period during which the Product is immobilized for repair or replacement suspends the warranty that remains in effect until the delivery of the repaired Product.
The above rights result from the application of Articles L. 217-1 to L. 217-32 of the Consumer Code. Any seller who acts in bad faith to prevent the implementation of the legal warranty of conformity is liable to a civil fine of up to €300,000, which may be increased to 10% of the average annual turnover (Article L. 241-5 of the French Consumer Code).
The Member also benefits from the legal warranty against hidden defects pursuant to Articles 1641 to 1649 of the Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the Member to a price reduction if the Product is kept, or a full refund upon return of the Product.
Article 5. Right of withdrawal
In the context of distance and off-premise contracts within the meaning of the Consumer Code, the Member has a right of withdrawal which they may exercise within fourteen (14) calendar days of:
- the date of Membership for membership of the club and subscription to the Services;
-
the date of receipt of any Order
for the purchase of Products.
If this period expires on a Saturday, Sunday, or public holiday, it is extended to the next business day. Members who wish to exercise their right of withdrawal must, before the expiry of the withdrawal period: - Notify The Eight unequivocally by registered letter with acknowledgment of receipt or by email to the following address : secondthought@theeightclub.com, for example using the withdrawal form attached hereto as Annex 1;
- Then, in the case of an Order, return the Product(s) at their own expense without undue delay and, in any event, no later than fourteen days after notification of their withdrawal, in their original condition and packaging, complete and unused, via a secure mode of transport; as the cost of return shipping will depend on the location, price, weight and nature of the Product, it will be communicated within a reasonable time after receipt of the notification of withdrawal.
Subject to compliance with these requirements, The Eight will refund all payments received using the same means of payment as that used for the initial transaction, unless otherwise agreed.
The Member acknowledges and accepts that in the event of withdrawal after having benefited from one or more Services, an amount proportional to what has been provided up to the withdrawal will be deducted from the refund of the membership fee paid. Furthermore, in the event of the purchase of a Product prior to withdrawal from Membership, the Product must be returned in accordance with the above conditions in order to be refunded. If the Member wishes to keep the Product, its price shall remain payable to The Eight and is non-refundable.
Article 6. Member’s Obligations
Each Member undertakes to comply with the Law, The Eight’s Internal Regulations accessible at theeightclub.com/terms-conditions and in their Personalized Personal Area, and to adhere to the values of discretion, elegance, respect, and integrity specific to The Eight.
Any violation may, depending on its severity, result in the temporary suspension or termination of the Member’s Membership, without prejudice to any other action taken to remedy the damage suffered by The Eight or other Members as a result of such breach(es).
First and foremost, Members undertake to exercise the utmost discretion regarding the existence of The Eight club, which should only be shared with individuals who are likely to be Candidates.
Above all, the club aims to be a safe place of freedom for its Members, ensuring respect for their privacy. All Members therefore undertake to maintain absolute confidentiality regarding the identity, behavior, words or comments of Members and other persons encountered at Events or any other meeting organized through or with The Eight. Similarly, what happens during these Events and meetings is confidential. In this regard, it is strictly forbidden to take photos or film anything, under penalty of immediate exclusion. No photographs or videos taken during these Events by The Eight or at its request and accessible via the Secure Personal Area may be made public without the express prior consent of the persons photographed, it being specified that such consent may not be presumed under any circumstances and that The Eight shall not be liable for any unauthorized use of these photographs or videos by its Members.
Each Member acknowledges that this confidentiality obligation is an essential and decisive commitment, as it is fundamental to the success of the club, and accepts that any violation will result in:
- immediate and permanent exclusion from the club;

the
automatic application of lump-sum compensation of €10,000 to each Member who is a victim of this violation and
€10,000 to The Eight to partially repair the consequences of such a violation on the reputation and sustainability
of its club, notwithstanding any additional compensation that they may claim in court.
Article 7. Duration
The Member subscribes to the Services according to the chosen Offer for a period of one year from the date of receipt of the Membership confirmation email.
Thereafter, this membership will be automatically and tacitly renewed on the anniversary of the Membership, for successive periods of one year, unless terminated by either party under the conditions set out in Article 8.
Article 8. Termination
Each party may terminate the contractual relationship arising from the Membership: -
at the annual renewal date, by sending a letter of termination to the other party by registered letter with acknowledgment of receipt sent to the address declared by the receiving party, with at least one (1) month prior notice;
Article L215-1 of the Consumer Code provides in this regard: “For service contracts concluded for a fixed term with a tacit renewal clause, the professional service provider shall inform the consumer in writing, by registered letter or dedicated email, at the earliest three months and at the latest one month before the end of the period authorizing the rejection of the renewal, of the possibility of not renewing the contract he has concluded with a tacit renewal clause. This information, provided in clear and comprehensible terms, shall mention, in a prominent box, the deadline for non-renewal. Where this information has not been provided in accordance with the provisions of the first paragraph, the consumer may terminate the contract free of charge at any time from the date of renewal. Advances made after the last renewal date or, in the case of open-ended contracts, after the date of conversion of the initial fixed-term contract, shall in this case be reimbursed within thirty days of the date of termination, less any sums corresponding to the performance of the contract up to that date. The provisions of this article shall apply without prejudice to those which legally subject certain contracts to specific rules regarding consumer information. Where the professional has not made the refund under the conditions set out above, the sums due shall bear interest at the legal rate.

in advance, in the event of a serious breach by the other Party that remains unresolved after a period of fifteen (15) days from the date of receipt of a formal notice letter sent by registered letter with acknowledgment of receipt requiring remedy. Termination shall then be notified by registered letter with acknowledgment of receipt and shall take effect on the date of first presentation of said letter without further formality, without prior notice and without prejudice to any damages that the party affected by the breach may be entitled to claim.
Termination of Membership shall not give rise to any refund of the annual Membership fee already paid by the Member, unless the termination is caused by serious misconduct on the part of The Eight.
Article 9. Liability
The Eight provides the Products and Services under a best-efforts obligation: it undertakes to use its best efforts to perform them in the most complete and satisfactory manner possible.
The Eight cannot be held liable for anything it does not control or that is inherent in the Services, in particular: - temporary unavailability of digital services, including in the event of updates or maintenance of the Website;
- any imperfections affecting a Product that is not brand new or resulting from the manufacturing techniques used, including artisanal or handcrafted processes;
- any unforeseen circumstances related to Events (e.g. capacity constraints, external conditions);
- any decisions, acts, negligence, or omissions of third parties, including but not limited to service providers, partners, merchants, caterers, reception venues, or experts;
- decisions, actions, negligence, and omissions of a Member, particularly in the event of fraudulent use of their login details due to a fault or negligence on the part of the Member;
- fortuitous events or force majeure within the meaning of the Civil Code and French case law.
The Products offered as part of the Curations and sourcing activities, as well as the recommendations and suggestions made in connection with the Services, constitute advisory services only. Accordingly, The Eight does not guarantee the financial or tax performance of any contemplated transaction.
However, under the legal guarantee of conformity, The Eight guarantees the authenticity of the Products sold.
If a Member suffers damage attributable to The Eight, the latter may only be held liable for direct and certain damage exclusively attributable to it. Thus, to the extent permitted by applicable law, The Eight shall in no event be liable for (i) loss of profits, revenue, business opportunities, lost earnings or opportunities, or for any consequential, indirect, or incidental damages; (ii) any damage to reputation or image; (iii) any loss or damage that was not foreseeable at the time of the Order was placed or the advice was provided (iv) any loss or damage attributable to a third party, including a partner of The Eight.
In any event, The Eight’s liability shall be limited to the amount of the annual membership fee paid by the Member for the contractual year during which the damage occurred.
The Eight declares that it has subscribed to civil liability insurance covering the risks of its activity with the insurance company AXA, which is known to be solvent.
Article 11. Intellectual property and Image rights
“The Eight” brand, all visual and audio elements of the Website, including the underlying technology used, as well as all elements related to the Events, in particular the scenography and decoration, are protected by intellectual property law.
They are the exclusive property of The Eight or The Eight holds a license allowing commercial exploitation.
Any reproduction or representation, in whole or in part, may give rise to legal proceedings and sanctions.
Anyone who publishes a website and wishes to create a direct hyperlink to the Website must request authorization from The Eight in writing. This authorization from The Eight shall in no way be granted on a permanent basis and may be withdrawn at any time upon simple written request for removal.
Members expressly authorize, without financial compensation, The Eight or any natural or legal person designated by it to take photographs and videos during the Events it organizes and for these photographs and videos to be published and made available to other Members via their Secure
Personalized Area. Any other public or commercial use is strictly prohibited unless otherwise agreed by the parties. This authorization is given for the world and for an undetermined period so that each Member may request at any time that content in which they are recognizable be removed. Correlatively, each Member undertakes not to oppose requests for removal from other Members.
Article 12. Personal data
As part of their relationship, The Eight collects personal data concerning its Members during the Membership process and then during the provision of Services and Orders for the purposes of their execution, to respond to Member requests, and for legitimate reasons such as improving the quality of Services.
The Eight undertakes to ensure that the collection and processing of Members’ personal data comply with the General Data Protection Regulation (GDPR) and the French Data Protection law (loi informatique et libertés).
Detailed information on the categories of data collected, the purposes pursued, the legal basis for processing, the retention periods, the recipients of the data, and the rights available to Members is provided in the Information Notice on the processing of personal data, which is included in Appendix 2 hereto and forms an integral part of the Terms and Conditions.
In accordance with the applicable regulations and under the conditions and limits provided for therein, all Members have the right to access, rectify, erase, restrict and object to the processing of their data, as well as the right to data portability, which they may exercise by sending an email to dataprivacy@theeightclub.com.
Members agree to receive commercial communications from The Eight in connection with the Services to which they have subscribed as part of their Membership. Members are reminded for all purposes of the existence of the “Bloctel” telephone solicitation opposition list, on which they may register (https://conso.bloctel.fr/) or on any equivalent device, register, or mechanism that may replace it, under the conditions provided for by law.
Article 13. Jurisdiction and applicable law
These Terms and Conditions and, more broadly, the relationship between the Member and The Eight, any Service and any Order are governed by French law.
In the event of a dispute relating thereto, an amicable solution will be sought before any legal action.
To this end, the Member undertakes to contact The Eight’s complaints department at the following address: membersadmin@theeightclub.com.
In the absence of an amicable settlement within thirty (30) days of the date of receipt by one of the parties of the other party’s written complaint, the latter shall regain its freedom of action unless otherwise agreed by the parties.
Pursuant to Article L. 612-1 of the French Consumer Code, “All consumers have the right to seek the assistance of a consumer mediator free of charge with a view to reaching an amicable resolution of a dispute between themselves and a professional.”
The list of consumer mediators can be consulted at the following link: https://www.economie.gouv.fr/mediation-conso. The Eight is a member of the consumer mediator Médiation Consommation Développement, whose website is: https://www.cnpm-mediation-consommation.eu/.
As mediation is not mandatory, the Member or The Eight may withdraw from the process at any time. In the event that mediation fails or is not considered, the dispute shall be brought before one of the competent courts in accordance with French law.
Article 14. Validity of the Terms and Conditions
The Terms and Conditions shall come into force on the date indicated at the end of this document and may be modified and updated by The Eight at any time.
The amended Terms and Conditions shall be enforceable as soon as they are posted on the Website and shall apply to Members as soon as they have been notified in writing.
Amendments to the Terms and Conditions shall not apply to Services and Product Orders already placed.
Any amendment to the legislation or regulations in force, or any decision by a competent court invalidating one or more clauses of these Terms and Conditions shall not affect the validity of these Terms and Conditions. Such an amendment or decision shall in no way entitle Members to disregard these Terms and Conditions.
